Eonturn Business Terms of Service

These terms are a commercial launch draft for business customers and require legal review and completion of the Eonturn legal profile before public sales.
Parties
The supplier is the Eonturn legal entity identified on the website and order confirmation. The customer is the business or organisation purchasing or using a Eonturn product.
Orders and accounts
The person accepting an order confirms that they are authorised to bind the customer. Account details must be accurate and kept secure. The customer is responsible for authorised users and devices connected to its organisation.
Products and subscriptions
Each order identifies the product, plan, billing interval, device limit, included services and price. Subscriptions continue for the stated billing interval until cancelled according to the order and billing portal.
Licence and acceptable use
Use of downloadable software is governed by the Software Licence. Customers must not bypass licensing, share credentials outside their organisation, attack the service, upload malicious material, interfere with other customers or use Eonturn products unlawfully.
Payment
Prices and taxes are displayed before order confirmation. Payment is processed by the selected payment provider. Failed or overdue payment may move an entitlement to past-due, restricted or cancelled status. Eonturn will preserve reasonable access to customer-controlled local data and will not deliberately delete local operational data because a subscription ends.
Availability and changes
Eonturn aims to provide reliable services but does not promise uninterrupted availability. Security, legal and compatibility updates may be applied when reasonably required. Material reductions to paid functionality will be communicated where practicable.
Customer responsibilities
The customer is responsible for lawful repair authorisation, backups, staff permissions, device ownership checks, customer privacy information, secure local systems and professional judgement when using diagnostic, deployment, backup or firmware functions.
Support
Support scope, response expectations and onboarding are determined by the purchased plan. Support does not include responsibility for third-party hardware, operating systems, vendor tools, customer networks or unauthorised repairs.
Liability
Neither party excludes liability that cannot lawfully be excluded. Subject to that, the final liability limits, excluded losses and insurance position must be approved before public launch.
Termination
Either party may terminate where the other materially breaches the contract and does not remedy the breach within a reasonable written period. Eonturn may suspend access immediately where necessary to protect security, prevent fraud or comply with law.
Governing law
The final governing-law and jurisdiction clause must match the registered Eonturn entity and target market before launch.
